1. Introduction

These Terms of Service ("Terms") constitute a legally binding agreement between you (the "Customer" or "You") and GoLiveChat ("Company," "We," "Us," or "Our") governing your access to and use of the GoLiveChat software, websites, documentation, and related services (collectively, the "Services").

By downloading, installing, accessing, or using any part of the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.

GoLiveChat provides a self-hosted live chat and AI customer support platform. The Software is deployed on your own server infrastructure, and you are responsible for your server environment, data, and compliance with applicable laws.

2. Eligibility

You represent and warrant that: (a) you are at least 18 years of age or the age of majority in your jurisdiction; (b) you have the full right, power, and authority to enter into these Terms on behalf of yourself or the entity you represent; (c) your use of the Services will not violate any applicable law, regulation, or third-party rights.

3. Account Registration & Security

To access certain features, you may be required to register for an account on the GoLiveChat platform. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. GoLiveChat shall not be liable for any loss or damage arising from your failure to comply with these obligations.

4. License Grant

Subject to your compliance with these Terms and the applicable license type you have purchased, GoLiveChat grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software on your own server infrastructure solely for your internal business purposes.

Self-Hosted Deployment License: Permits installation and use of the compiled binary on a single server instance for your own business operations. Source code access is not included.

Full Source Code License: Permits installation, use, and modification of the Software source code for your own business operations. Redistribution or resale of the source code is expressly prohibited unless a separate distribution agreement has been executed.

You may not: (a) rent, lease, sublicense, or otherwise transfer the Software to any third party; (b) use the Software for the benefit of any third party on a service-bureau basis; (c) reverse-engineer, decompile, or disassemble the Software (except as expressly permitted for Full Source Code licensees); (d) remove or alter any proprietary notices or labels on the Software.

5. Intellectual Property

The Software, including all code, documentation, design, trademarks, logos, and other content provided by GoLiveChat, is and shall remain the exclusive property of GoLiveChat and its licensors. These Terms do not transfer any ownership rights to you.

Any feedback, suggestions, or ideas you provide to GoLiveChat regarding the Services may be used by GoLiveChat without any obligation or compensation to you.

6. Self-Hosted Nature & Your Responsibilities

GoLiveChat is self-hosted software. You acknowledge and agree that:

  1. You are solely responsible for procuring, configuring, securing, and maintaining the server infrastructure on which the Software is deployed, including the MySQL database.
  2. You are responsible for all data stored on your servers, including customer conversation data, files, and user information.
  3. GoLiveChat does not have access to or control over data stored on your servers unless you explicitly grant such access for support purposes.
  4. You are responsible for implementing appropriate backup, security, and disaster-recovery measures for your deployment.
  5. You are responsible for compliance with all applicable data protection and privacy laws in your jurisdiction.

7. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with our Acceptable Use Policy, which is incorporated into these Terms by reference. You may not use the Services:

  1. In any way that violates any applicable federal, state, local, or international law or regulation;
  2. To transmit any material that is defamatory, obscene, fraudulent, or that infringes the intellectual property rights of others;
  3. To engage in spamming, phishing, or any form of unsolicited bulk communications;
  4. To distribute malware, viruses, or other harmful code;
  5. To interfere with or disrupt the integrity or performance of the Software or any related services.

8. Payment Terms

Certain features or license types are available only upon payment of applicable fees. All fees are quoted and payable in the currency specified at the time of purchase. Fees are non-refundable except as expressly provided in these Terms or as required by applicable law.

One-time license fees grant you a perpetual license to use the version of the Software purchased at the time of payment. Ongoing access to updates, upgrades, and support services may require an active subscription or separate agreement.

9. Disclaimer of Warranties

THE SOFTWARE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. GOLIVECHAT DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

You acknowledge that the performance, availability, and security of the Software depend in part on your server environment, which is outside of GoLiveChat's control. GoLiveChat disclaims all liability related to issues arising from your infrastructure, configuration, or third-party integrations.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GOLIVECHAT, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SOFTWARE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF GOLIVECHAT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

GOLIVECHAT'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO GOLIVECHAT FOR THE SOFTWARE LICENSE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless GoLiveChat and its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Software; (b) your breach of these Terms; (c) your violation of any applicable law or third-party rights; or (d) any data you process, store, or transmit through the Software on your infrastructure.

12. Termination

These Terms remain in effect until terminated by either party. You may terminate these Terms at any time by ceasing all use of the Software and destroying all copies in your possession.

GoLiveChat may suspend or terminate your account and access to the Services immediately if: (a) you breach any provision of these Terms; (b) your conduct creates a security risk or legal liability for GoLiveChat; or (c) you engage in fraudulent or illegal activities.

Upon termination, your right to access and use the Software shall cease immediately. Sections relating to intellectual property, disclaimer of warranties, limitation of liability, and indemnification shall survive termination.

13. Modifications to the Terms

GoLiveChat reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such modifications constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Services.

14. Third-Party Services

The Software may integrate with or enable access to third-party services (including AI APIs, payment gateways, and messaging platforms). GoLiveChat does not control and is not responsible for such third-party services. Your use of third-party services is governed by their respective terms and privacy policies.

15. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved informally within thirty (30) days, either party may pursue resolution through binding arbitration or litigation in the courts of the jurisdiction where GoLiveChat is established, as permitted by applicable law.

16. General Provisions

These Terms constitute the entire agreement between you and GoLiveChat regarding the Services and supersede all prior agreements and understandings. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The failure of GoLiveChat to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. You may not assign these Terms without the prior written consent of GoLiveChat.
